1. Introductory provisions
These general terms and conditions (the “Terms”) govern the rights and obligations of the contracting parties when using the Bokaflow service, available at app.bokaflow.com.
The service is provided by Bokaflow s. r. o., with its registered office at Partizánska 3261/18, 058 01 Poprad, Slovak Republic, company ID (IČO) 50 962 795, registered in the Commercial Register of the District Court of Prešov, section Sro, insert no. 34860/P (the “Provider”).
By creating an account, the user confirms that they have read and agree to these Terms.
2. Definitions
- Service — the Bokaflow web application for managing license contracts, calculating royalties, preparing royalty statements and keeping inventory records.
- User — a natural or legal person who has created an account in the Service.
- Account — user access to the Service protected by login credentials.
- Subscription — a paid period of access to the Service under the selected pricing plan.
- User data — all data that the user enters into or imports into the Service.
3. Conclusion of the contract and registration
The contractual relationship is established when registration is completed and the account is created. The user must provide true and complete information and keep it up to date.
The user is responsible for protecting their login credentials. All actions performed under the user’s account are deemed to be actions of the user.
The Service may be used by businesses as well as non-business entities. The Service is not intended for persons under 18 years of age.
4. Subject and scope of the service
The Provider grants the user a non-exclusive, non-transferable right to use the Service to the extent of the selected plan for the duration of the subscription.
The features included in each plan are listed in the price list on the website. The Provider may continuously develop the Service and add or modify features, provided that this does not substantially reduce the scope of the Service.
The Service is used for recording licenses and inventory and for preparing royalty statements. It does not replace accounting records or legal or tax advice, and the Provider is not responsible for the correctness of the tax treatment of data entered by the user.
The Service calculates royalty statements from the license terms and sales data entered by the user. The user is responsible for the correctness of this data and for reviewing each statement before sending it to a partner.
5. Trial period
Every new account is entitled to a free trial period of 14 days. No payment card is required to activate it.
The trial period does not automatically convert into a paid subscription. After it ends, access to features is restricted until the user selects a paid plan.
6. Price and payment terms
Subscription prices are listed in the price list on the website. The subscription is paid in advance for the selected period — monthly or yearly.
Payments are made through the Barion payment gateway. The subscription renews automatically for the next period unless the user cancels it before the end of the current period.
The Provider issues the tax invoice electronically and makes it available in the user’s account.
If a payment is overdue, the Provider may restrict access to the Service until it is paid.
7. Rights and obligations of the user
The user undertakes to use the Service in accordance with the law and these Terms. In particular, the user must not:
- interfere with the technical implementation of the Service, circumvent its security mechanisms or place an unreasonable load on it;
- make their account available to third parties beyond the scope of the selected plan;
- upload unlawful content or content infringing the rights of third parties;
- resell, rent out or otherwise commercially provide the Service without the Provider’s written consent.
In the event of a serious breach of these obligations, the Provider may suspend the account.
8. Availability and support
The Provider makes reasonable efforts to ensure continuous availability of the Service. However, it does not guarantee uninterrupted operation.
Where possible, the Provider carries out planned maintenance outside normal working hours and gives advance notice of it.
Technical support is available by email at info@bokaflow.com on business days. The Provider usually responds within one business day.
9. User data
Data entered into the Service remain the property of the user. The Provider processes them solely to the extent necessary to provide the Service.
The data of individual companies are technically separated within the Service. The Provider does not make them available to third parties except where required by law.
After the subscription ends, the Provider retains the user’s data for 14 days, during which the user may export them. After this period, the data may be irreversibly deleted.
The processing of personal data is described in detail in the Privacy Policy.
10. Liability for damage
10.1 Service provided “as is”
The Service is provided “as is” and “as available”. Beyond these Terms, the Provider gives no express or implied warranties, in particular no warranty that the Service will be free of errors and interruptions, that it will be fit for a particular purpose of the user, or that the results of its use will meet the user’s expectations.
10.2 User’s responsibility for data and outputs
The user is responsible for the correctness, completeness, timeliness and lawfulness of all data they enter, import or otherwise make available in the Service, as well as for the settings they choose in the Service.
Stock levels, documents, overviews, license and royalty statements, royalty calculations, currency conversions, exports and PDF documents are generated automatically from the user’s data and settings. The user must review them before any further use, in particular before sending them to a third party, making or accepting a payment, booking them in the accounts or using them for tax or other official purposes. The Provider is not liable for the consequences of decisions made by the user or third parties on the basis of these outputs.
10.3 The Service is not professional advice
The Service is a software tool and does not constitute accounting, tax, legal or other professional advice. It does not replace bookkeeping required by law or the assessment of the user’s contractual relationships with third parties.
Exchange rates are taken from the reference rates of the European Central Bank and are for information only. The Provider is not liable for their correctness, delayed publication or unavailability at the source.
10.4 Exclusion of liability
In particular, the Provider is not liable for:
- damage resulting from incorrect use of the Service or its use in breach of these Terms or the documentation,
- damage caused by incorrectly, incompletely or belatedly entered data,
- indirect or consequential damage, loss of profit, loss of business opportunities, revenue, goodwill or business partners,
- loss of or damage to data caused on the user’s side, by the user’s devices, software or persons to whom the user has given access to the account,
- unauthorised access to the account due to insufficient protection of login credentials on the user’s side,
- damage caused by an outage, error or act of third-party services on which the Service relies (e.g. the payment gateway, email delivery, hosting, data sources),
- the content of data entered into the Service by the user and its compliance with the law and the rights of third parties.
10.5 Availability of the Service and force majeure
The Provider makes reasonable efforts to ensure the availability of the Service but does not guarantee its continuous availability. The Provider is not liable for unavailability or restriction of the Service caused by planned or urgent maintenance, updates, connectivity or infrastructure outages, cyberattacks despite reasonable measures taken, decisions of public authorities, force majeure or other circumstances beyond its reasonable control.
10.6 Backups and data export
The Provider backs up data to the extent it considers reasonable, but does not guarantee complete or immediate data recovery. The user must regularly create their own copies of important data using the exports provided by the Service. The Provider is not liable for damage the user could have avoided by properly keeping their own backups.
10.7 Limitation of the amount of damages
To the extent permitted by law, the Provider’s total liability for damage arising in connection with the Service is limited to the amount of fees actually paid by the user to the Provider for the Service during the 12 months preceding the event that caused the damage. The parties consider this amount to be the foreseeable amount of damage that may arise from a breach of the Provider’s obligations.
During the free trial period, the Service is provided free of charge and solely for evaluation purposes; during this period, the Provider is liable for damage only to the extent that liability cannot be excluded by law.
10.8 Exceptions to the limitations
The limitations and exclusions of liability under this article do not apply to damage caused intentionally or by gross negligence, to personal injury, or where they are excluded by mandatory provisions of law.
10.9 Notification of damage
The user must notify the Provider in writing or by email, without undue delay after becoming aware of them, of any damage or circumstances that may lead to damage, and must cooperate in investigating and remedying them. The user must take reasonable measures to prevent or mitigate the damage. The Provider is not liable for the part of the damage that arose or increased as a result of a breach of these obligations.
10.10 User’s liability towards the Provider
The user shall compensate the Provider for damage and reasonable costs (including legal representation costs and penalties imposed by public authorities) incurred by the Provider as a result of a breach of these Terms by the user or by persons to whom the user has given access to the account, or as a result of third-party claims relating to data entered into the Service by the user, including personal data for which the user is the controller.
10.11 Invalidity of individual provisions
If any provision of this article proves to be invalid or unenforceable, the remaining provisions remain in force and the invalid provision shall be replaced by a valid provision that comes closest to its purpose.
11. Term and termination
The contract is concluded for an indefinite period. The user may cancel the subscription at any time with effect from the end of the paid period, directly in the account settings.
The Provider may terminate the contract in the event of a serious or repeated breach of the Terms, or if it discontinues the Service, in which case it will notify the user at least 30 days in advance.
Cancelling the account does not extinguish the Provider’s right to payments already due.
12. Changes to the terms
The Provider may amend these Terms. It will inform the user of any change by email or directly in the application at least 15 days before the change takes effect.
If the user does not agree with the change, they may terminate the contract before the date it takes effect. Continued use of the Service after that date constitutes acceptance of the change.
13. Final provisions
Matters not covered by these Terms are governed by the laws of the Slovak Republic, in particular the Slovak Civil Code and Commercial Code.
If any provision of these Terms becomes invalid, the remaining provisions remain in force.
These Terms are drawn up in the Slovak language. Translations into other languages are provided for information only; in the event of any discrepancy, the Slovak version prevails.
A consumer has the right to contact the Provider with a request for redress and, if dissatisfied, to turn to the alternative dispute resolution body — the Slovak Trade Inspection (Slovenská obchodná inšpekcia).
